This is a great post.  So many young companies get blinded by relative valuations in private company acquisitions and ignore obvious due diligence issues.  Then they inherit the capital structure of their acquirors and regret it later.

I remember talking to the ThinkFish guys about this when we were doing the Viewpoint deal.
