		<description>The real issue is that the employees are not investing, even though they own a share of the fully diluted company.  So they (usually) don&#039;t take their &quot;pro rata&quot; share. There&#039;s always a shortfall of this amount.  on the other point, I have always fought for pro rata on an as converted to common basis - it has led to fewer clashes, even when doing down rounds.
Do keep up the blog on these issues.
